These Terms and Conditions (“Terms”) are a binding agreement between you and Mindset LLC, an Oregon limited liability company (“Mindset LLC,” the “Company,” “we,” “us,” or “our”). Mindset LLC operates the HD Headshot and Quick Headshot brands, including the website hdheadshot.com, and the AI-powered headshot generation service offered through them (together, the “Service”). HD Headshot and Quick Headshot are brand names, not separate legal entities.

By accessing or using the Service, creating an account, or uploading photos, you agree to these Terms. Our Privacy Policy and Refund Policy are part of these Terms. If you do not agree, do not use the Service.

1. Eligibility

  • You must be at least 18 years old and have the legal capacity to enter into a binding contract.
  • The Service is offered to people located in the United States and is not directed to people in the European Union, the European Economic Area, or the United Kingdom.
  • We do not permit accounts or photos of anyone under 18.

2. Your Account

  • Sign-in. You sign in with Google or with a one-time link sent to your email. You are responsible for keeping your email and Google accounts secure and for all activity under your account.
  • Accuracy. You agree to give accurate information and keep it up to date.
  • Suspension and termination. We may suspend or terminate your account, with or without notice, if you violate these Terms, misuse the Service, or put the Service or other users at risk. You may delete your account at any time from your account page or by emailing support@hdheadshot.com.

3. Your Photos and Right of Likeness

When you upload photographs or selfies (“Input Images”), you are responsible for them. You represent and warrant that:

  • the photos show only you, and you are 18 or older;
  • you own the photos or have the right to use them for the Service; and
  • the photos do not infringe anyone’s copyright, privacy, publicity, or other rights, and do not show any minor, celebrity, or other third party.
  • No impersonation. Creating deepfakes, impersonating another person, or using someone’s likeness without their explicit written consent is strictly prohibited and is a material breach of these Terms.
  • License to us. You grant us a limited, non-exclusive, worldwide, royalty-free license to host, copy, process, and transmit your Input Images, including to the service providers described in our Privacy Policy, solely to generate your images, operate and secure the Service, screen for safety, and comply with law. This license ends when your files are deleted.
  • Safety screening. We use automated tools to screen uploads and may refuse, remove, or block content that violates these Terms.

4. Your Generated Images

  • Previews. Watermarked, low-resolution previews are for evaluation only. You have no license to publish, distribute, or use previews until you purchase the corresponding images.
  • Ownership. Subject to your payment and compliance with these Terms, as between you and us you own the images generated for you and delivered in a paid order (“Output Images”). We make no promise that any particular right in an AI-generated image can be registered or enforced under the law where you live.
  • Personal and commercial use. You may use, copy, modify, display, and publish your Output Images for personal and commercial purposes, such as LinkedIn, résumés, company websites, and marketing.
  • AI limitations. Images are created by generative AI. We do not guarantee that an image will closely resemble you, be free of imperfections, or be unique compared with images made for other people. Please review every image before you use it.
  • Not for identification. Output Images are for general use only and are not guaranteed to be accepted for official passport or visa applications, driver’s licenses, government or other identity documents, or anywhere the law or a platform’s rules require an unaltered photograph. A passport-style crop is a framing option. You are responsible for following the rules of any platform, employer, or organization where you use the images, including rules about AI-generated images.
  • Our property. The Service, its software, designs, logos, and trademarks (including HD Headshot and Quick Headshot) belong to Mindset LLC and its licensors.

5. Acceptable Use

You agree not to use the Service to:

  • upload, generate, or request content that is defamatory, obscene, pornographic, sexually explicit, abusive, harassing, hateful, or racially or ethnically offensive;
  • upload photos of anyone under 18, or photos of anyone other than yourself;
  • create non-consensual sexual content, explicit deepfakes, fraud, or political disinformation;
  • reverse engineer, scrape, or systematically extract data, code, or model information from the Service;
  • bypass or interfere with our security controls, rate limits, usage or spending limits, or infrastructure; or
  • abuse promotional codes, referral programs, or the free preview system, including by creating multiple accounts.

Violations may lead to immediate account termination, deletion of content, and, where required by law, referral to law enforcement.

6. Your Photos, Deletion, and Downloading

  • 72-hour deletion. Uploaded photos, previews, and Output Images are kept for at most 72 hours from when they are created (for a paid order, from when your order is completed) and are then deleted automatically. Our cleanup process runs regularly, so deletion may occur shortly after the 72-hour mark. You can delete your photos earlier at any time. Details are in our Privacy Policy.
  • Download in time. Your order page shows the date and time your images will be deleted. You are responsible for downloading and saving your images before then. Deleted files cannot be recovered.
  • No AI training. We do not use your Input Images or Output Images to train or improve AI models, and we do not allow our providers to do so with your files.

7. Purchases, Pricing, and Promotions

  • One-time packs. Photo packs are one-time purchases for a stated number of images. We do not offer subscriptions, and nothing renews automatically.
  • Pricing and payment. Prices are shown in US dollars before you pay, and taxes are added where required. Payments are processed by Stripe. We do not store your full card details.
  • What a pack includes. Images you mark as favorites from your previews count toward the number of images in your pack. The remaining images are newly generated for you.
  • Delivery. After your payment is confirmed, your images are prepared and appear on your order page, usually within a few minutes. If some images fail to generate, we retry them. If we cannot deliver everything, the Refund Policy applies.
  • Promotions. Coupon and offer codes are limited to one per order and cannot be stacked: if more than one applies, the larger discount applies. Codes have no cash value, may expire or have use limits, and may be withdrawn. Time-limited offers show their expiry. We may void discounts obtained through abuse.
  • Referral and creator programs. These may be subject to separate terms. Referring yourself does not qualify for rewards.
  • Refunds. Refunds are governed by our Refund Policy. In summary, you may request a refund within 7 days of purchase if no full-resolution image has been downloaded, and we refund images we are unable to deliver.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ANY GUARANTEE THAT IMAGES WILL BE PHOTOREALISTIC, RESEMBLE YOU, OR BE FREE OF ERRORS, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. RESULTS MAY VARY WITH THE QUALITY AND COMPLIANCE OF THE PHOTOS YOU UPLOAD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY, ITS MEMBERS, OFFICERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF FIFTY US DOLLARS ($50.00) OR THE AMOUNT YOU PAID US FOR THE SPECIFIC PURCHASE GIVING RISE TO THE CLAIM IN THE PRECEDING THREE (3) MONTHS. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its members, officers, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of: (a) your violation of these Terms; (b) your Input Images, including any claim that they violate someone’s privacy, publicity, copyright, or likeness rights; or (c) your use or distribution of Output Images in violation of law or these Terms.

11. Governing Law and Disputes

  • Governing law. These Terms and any dispute arising from them are governed by the laws of the State of Oregon, without regard to conflict-of-law rules.
  • Informal resolution first. Before starting a formal proceeding, you and we agree to try in good faith to resolve the dispute by written notice to the other party for at least 30 days.
  • Binding arbitration. Any dispute not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, on an individual basis. You waive any right to bring or take part in a class, consolidated, or representative action.
  • Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek court relief to stop misuse of intellectual property.
  • Opt out. You may opt out of arbitration and the class waiver within 30 days after you first accept these Terms by emailing support@hdheadshot.com with the subject “Arbitration Opt-Out.”
  • Courts. For any dispute that is not subject to arbitration, you and we consent to the state and federal courts located in the State of Oregon.

12. Changes to These Terms

We may update these Terms. We will change the “Last Updated” date and, for material changes, notify you by email or with a notice on the site. Changes do not apply to purchases you made before the change. Continuing to use the Service after changes take effect means you accept them.

13. General

  • These Terms, with the Privacy Policy and Refund Policy, are our entire agreement with you about the Service.
  • If part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a term is not a waiver of it.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, sale, or reorganization.
  • You agree to receive notices and transactional messages from us electronically.

14. Copyright and Other Complaints

To report content you believe infringes your rights or violates these Terms, email support@hdheadshot.com with the subject “IP Complaint,” the details of the content, and your contact information.
